Welcome to DeafMetrix (“we”, “us”, “our”). These Terms & Conditions (“Terms”) set out the rules for using our website https://www.deafmetrix.com (the “Website”), engaging our services, and interacting with our content.
By using our Website, purchasing our services, or engaging with our materials, you confirm that you have read, understood, and agreed to these Terms in full. If you do not agree, you must stop using our Website and services immediately.

“Services” means any consulting, training, audits, strategic advice, media, accessibility reviews, system redesigns, or other professional work provided by DeafMetrix.
“Client”, “you”, “your” means any individual, company, or organisation accessing the Website or engaging our services.
“Content” means all materials on our Website, in our deliverables, or provided in connection with our services, including text, graphics, audio, video, BSL content, reports, and downloads.
“Deliverables” means any reports, audits, recommendations, designs, frameworks, or other outputs created by DeafMetrix for a client.
“Intellectual Property” means all copyrights, trademarks, design rights, patents, methodologies, and know-how owned by DeafMetrix.
2. Scope of Terms
These Terms apply to:
All visitors to our Website.
All clients who purchase or use our services.
All third parties interacting with DeafMetrix by email, video call, text, or in person.
Specific projects may also be covered by a separate written agreement, which will override these Terms where explicitly stated.
3. Use of Website
You may use our Website for lawful purposes only. You must not:
Access, hack, or disrupt our Website or servers.
Copy or reproduce Website content without written permission.
Upload or transmit unlawful, defamatory, obscene, or harmful material.
We reserve the right to suspend or terminate Website access if these Terms are breached.
4. Services
4.1 Engagement
Services commence once both parties have agreed in writing to scope, fees, and timelines.
4.2 Client Responsibilities
Clients must:
Provide accurate, complete, and timely information.
Ensure their teams cooperate with DeafMetrix consultants.
Take responsibility for implementing recommendations.
4.3 No Guarantee of Outcomes
We provide expert advice and recommendations, but we do not guarantee specific outcomes, financial results, or regulatory compliance unless stated in writing.
5. Intellectual Property & Use of Deliverables
5.1 Ownership
All Intellectual Property remains with DeafMetrix unless otherwise agreed in writing.
5.2 Client Licence
Clients receive a non-exclusive, non-transferable licence to use Deliverables internally for the agreed purpose.
Deliverables may not be shared externally without written consent.
Methodologies, frameworks, and templates remain our property and may not be resold or repurposed.
6. Payments
All fees are in GBP (£) unless agreed otherwise.
Payment terms are stated in the proposal or invoice.
Late payments may incur interest under the UK Late Payment of Commercial Debts (Interest) Act 1998 or equivalent laws elsewhere.
Deposits and retainers are non-refundable unless otherwise agreed.
7. Cancellations & Refunds
Cancellations must be submitted in writing to deafmetrix@outlook.com.
Refunds are only provided if agreed in advance and subject to work completed.
No refunds for services already delivered.
8. Limitation of Liability
To the maximum extent permitted by law:
DeafMetrix is not liable for indirect, incidental, or consequential losses, including loss of profit, data, or goodwill.
Our liability is limited to the total fees paid for the specific service in question.
We are not responsible for delays, damages, or loss caused by events outside our reasonable control (see Force Majeure).
9. Accessibility & Current Limitations
We are a Deaf-led business committed to accessibility. However, our Website and materials may not yet fully meet WCAG 2.1 AA or equivalent standards, including but not limited to:
Missing BSL translations on some pages.
Missing captions or transcripts for some media.
We are actively improving accessibility and welcome feedback, but we accept no liability for temporary or unavoidable accessibility gaps.
10. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including:
Pandemics or public health emergencies.
Extreme weather, natural disasters, or acts of God.
Strikes, supply chain failures, or transport disruption.
Government restrictions, cyberattacks, or legal changes.
11. Privacy & Data Protection
We collect and process data according to our Privacy Policy, which forms part of these Terms. By engaging with us, you consent to such processing.
12. Third-Party Links
Our Website may link to third-party websites. We do not control or accept responsibility for their content, security, or privacy practices.
13. Global Jurisdiction & Enforcement
These Terms are governed by the laws of England & Wales.
Disputes will be resolved exclusively in the courts of England & Wales, unless local consumer laws require otherwise.
For clients outside the UK, these Terms will be interpreted in line with applicable local laws where they provide mandatory protections, but without limiting our rights under English law.
We reserve the right to take legal action in your jurisdiction if necessary to protect our Intellectual Property, recover unpaid fees, or enforce these Terms.
14. Changes to Terms
We may update these Terms at any time. Continued use of our Website or services after changes means you accept the revised Terms.
